TERMS OF SERVICE

1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the services, software, websites, applications, APIs, and related offerings (collectively, the "Services") provided by Ask2.ai Inc. ("Ask2.ai", "Company", "we", "us", or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you are accessing or using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Provisioned Accounts
Access to the Services is restricted to individuals and organizations that have been authorized by the Company or by a customer organization.
The Company may create, provision, or authorize user accounts on behalf of a customer organization. Customer organizations are responsible for identifying authorized users, managing user access rights, notifying the Company of unauthorized access, and ensuring compliance with these Terms.
Users shall maintain the confidentiality of their login credentials and shall not share accounts with unauthorized individuals.
3. Commercial Agreements
Access to the Services may be governed by a separate Order Form, Master Services Agreement ("MSA"), Statement of Work ("SOW"), subscription agreement, or other written agreement between the Company and Customer.
To the extent of any conflict between these Terms and such written agreement, the written agreement shall control.
4. License to Use the Services
Subject to these Terms and any applicable commercial agreement, the Company grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for Customer's internal business purposes.
5. Customer Data
Customer retains ownership of Customer Data. Customer grants the Company a limited license to process Customer Data solely as necessary to provide, secure, support, and improve the Services.
6. Financial and Professional Services Disclaimer
The Services are provided solely for informational and analytical purposes.
Ask2.ai is not a bank, lender, broker-dealer, investment adviser, tax adviser, accounting firm, law firm, or fiduciary. The Company does not provide investment, legal, tax, accounting, or financial advice.
Customers remain solely responsible for all decisions made using the Services.
7. No Fiduciary Relationship
Nothing in these Terms creates a fiduciary, advisory, agency, partnership, joint venture, brokerage, or employment relationship between the Company and Customer.
8. Artificial Intelligence and Automated Outputs
The Services may generate analyses, forecasts, reports, scores, recommendations, or other outputs using artificial intelligence and automated technologies.
AI-generated outputs may be incomplete, inaccurate, biased, misleading, or outdated. Customer is solely responsible for validating all outputs before use.
9. Ownership of Generated Outputs
Subject to applicable law, Customer owns reports and outputs generated specifically for Customer through the Services.
The Company retains ownership of all software, source code, models, algorithms, workflows, methodologies, documentation, and related intellectual property.
10. Privacy and Data Processing
The Company's processing of personal information is governed by its Privacy Policy.
Customer is responsible for obtaining all permissions and consents necessary to provide Customer Data to the Services.
11. Acceptable Use Restrictions
Customer shall not:
- Use the Services unlawfully.
- Upload malware or malicious code.
- Attempt unauthorized access.
- Circumvent security controls.
- Build competing products using the Services.
- Resell access without authorization.
12. Export Controls and Sanctions
Customer agrees to comply with all applicable export control and sanctions laws.
13. Security
The Company maintains reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.
No system can be guaranteed to be completely secure.
14. Service Availability
The Company does not guarantee uninterrupted or error-free operation of the Services.
The Company may modify, suspend, or discontinue portions of the Services as necessary.
15. Third-Party Services
The Services may integrate with third-party products, APIs, and cloud providers.
The Company is not responsible for third-party services or their availability.
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
THE COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
- FEES PAID DURING THE PRECEDING TWELVE (12) MONTHS; OR
- USD $100.
18. Indemnification
Customer agrees to defend, indemnify, and hold harmless the Company from claims arising from Customer's use of the Services, Customer Data, or violations of these Terms.
19. Customer Responsibility for Decisions
Customer is solely responsible for investment, lending, credit, portfolio, compliance, regulatory, and business decisions made using information generated by the Services.
20. Suspension and Termination
The Company may suspend or terminate access where necessary to address security, legal, operational, or compliance concerns.
21. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
22. Changes to These Terms
The Company may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
23. Contact Information
Questions regarding this Privacy Policy or requests relating to personal information may be directed to the customer's designated account representative or through other support channels made available by Ask2.ai. Ask2.ai will take reasonable steps to respond to applicable requests in accordance with applicable law.
24. Entire Agreement
These Terms constitute the entire agreement between Customer and the Company regarding the Services, except where superseded by an applicable written agreement.
